# Terms of Service & Enterprise Licensing.

## Master Subscription & Licensing Terms

Effective date: September 2026. These Terms of Service govern the access, evaluation, and production use of software, capabilities, products, and models delivered by Discovery AI Limited (UK) and ReDscvry Technology Private Limited (India).

These terms establish the legal and commercial framework for accessing the Dscvry Intelligence Platform, including our hosted APIs, dedicated cloud deployments, on-premise distributions, and air-gapped enclaves.

### 1. Contracting Parties & Definitions

An enterprise agreement referencing these Terms creates a legally binding contract between the Customer specified in the applicable Order Form and the designated Dscvry entity:

- **Discovery AI Limited** (UK Company No. 17032815) for contracts executed in the United Kingdom, European Union, North America, and international territories.
- **ReDscvry Technology Private Limited** (India CIN U63111TS2024PTC183007) for contracts executed within the Republic of India.

### 2. Customer Intellectual Property Ownership

**Customer retains all right, title, and interest in and to Customer Data.** Customer Data includes all raw documents, PDFs, schematics, source code, transaction ledgers, prompts, embeddings, and query results processed through Dscvry software.

Dscvry acquires no rights to Customer Data other than the limited, non-exclusive right to process such data strictly as necessary to provide the contracted intelligence services during the term of the agreement.

### 3. Deployment Grant & Boundary Restrictions

Subject to the applicable Order Form, Dscvry grants Customer a non-exclusive, non-transferable enterprise license to deploy and execute the platform across designated deployment tiers:

- **Hosted & Cloud VPC:** Access to managed REST endpoints and dedicated virtual private cloud infrastructure.
- **On-Premise & Sovereign Enclave:** License to execute containerized images and local model weights on customer-owned bare-metal, edge, or air-gapped hardware.
- **Prohibited Uses:** Customer shall not reverse-engineer, decompile base platform binaries, or attempt to extract underlying training corpora of proprietary base model architectures.

### 4. Service Levels & Support Commitments

Service levels, support and maintenance commitments for each deployment are set out in the applicable Order Form or enterprise agreement.

### 5. Intellectual Property Indemnification

Dscvry shall defend, indemnify, and hold harmless Customer against any third-party claims, suits, or proceedings alleging that Dscvry software or standard base model weights infringe any valid copyright, trademark, or trade secret, subject to standard enterprise defense cooperation terms.

### 6. Governing Law & Jurisdiction

Agreements executed with Discovery AI Limited are governed by and construed under the laws of **England and Wales**, with exclusive jurisdiction in London. Agreements executed with ReDscvry Technology Private Limited are governed by the laws of **India**, with jurisdiction in Hyderabad, Telangana.
